Terms of Service

Welcome to Pinbar.ai ("Platform", "Service", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Pinbar.ai, governing your access to and use of our trading analytics and journaling platform.

By creating an account, accessing, or using Pinbar.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Billing & Payment Policy.

If you do not agree to these Terms, you must not access or use the Service.

For the purposes of these Terms, the following definitions apply:

• "Completed Trade": A trade that has both an entry and an exit. One completed trade consists of opening a position (buy or sell) and subsequently closing that position. Partial closures count as completed trades proportionally. Simply opening or holding a position does not constitute a completed trade until it is closed.
• "Trade Credits": Prepaid units that can be used to offset charges for completed trades. Trade credits may be earned through referrals, promotional offers, or purchased through the Active Trader Pack.
• "Subscription": A recurring billing arrangement (monthly) where the User pays a fixed amount in advance for access to premium features and a specified number of trade analyses, as in the Pro Unlimited plan.
• "Fair-Use Policy": A usage limit applied to subscription plans (Pro Unlimited: 600 trades per month) designed to ensure platform stability and prevent abuse. Usage beyond the fair-use limit incurs additional charges or reduced service depth.
• "Broker Connection": A read-only API integration between your trading broker account and Pinbar.ai that allows automatic syncing of trade data for analysis purposes.
• "AI Insights": Machine learning-generated analysis, observational outputs, and behavioral pattern detection provided by the Platform. These are probabilistic outputs and not guaranteed predictions or financial advice.

Pinbar.ai is a trading analytics and journaling platform designed for Indian retail traders. The Platform provides:

• Automatic trade data synchronization from connected broker accounts (read-only access)
• AI-powered analysis of trading patterns, behaviors, and psychology
• Behavioral pattern observations and analytics
• Performance analytics, heatmaps, and reporting tools
• Historical strategy performance analysis based on actual executed trades
• Market replay features for reviewing past trading sessions

• All insights, analytics, and AI-generated content are for educational and informational purposes only
• Past performance data and historical analysis do not guarantee future results
• Trading in financial markets involves substantial risk of loss and may not be suitable for all investors
• Users are encouraged to consult a qualified, SEBI-registered financial advisor before making any investment decisions
• Historical performance analysis is based on actual executed trades and may not reflect future trading conditions
• AI insights are probabilistic and based on pattern recognition—they are not infallible predictions

By using Pinbar.ai, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality and security of your account credentials
• Use the Service only for lawful purposes in compliance with all applicable laws
• Not share your account access with any third party
• Not attempt to reverse-engineer, decompile, or exploit the Platform
• Ensure the accuracy of broker API credentials you provide for connection
• Promptly notify us of any unauthorized access to your account
• Accept full responsibility for all trading decisions made based on Platform insights

Accuracy of Broker Data: While we strive to accurately sync and display your trade data, you are responsible for verifying the accuracy of synced trades against your broker statements. Discrepancies should be reported to our support team.

To use Pinbar.ai, you must:

• Be at least 18 years of age
• Be a resident of India or have a valid Indian broker account
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using financial technology services under any applicable law

7.1 Pricing Plans

• Free: 5 lifetime trade analyses on sign up + 2 daily free credits (reset at midnight IST). No credit card required.
• Pay As You Trade: ₹14 per completed trade + 18% GST (postpaid, settled daily). Includes 2 daily free credits.
• Active Trader Pack: ₹2,499 for 300 trades (prepaid, valid 90 days, GST inclusive)
• Pro Unlimited: ₹2,499/month (subscription, 600 fair-use trades, GST inclusive)
• Enterprise: Custom pricing for Brokers, Prop Firms & institutions. Contact sales for details.

7.2 Auto-Debit Authorization

By enabling auto-debit or setting up a payment method for the Pay As You Trade plan, you expressly authorize Pinbar.ai to automatically charge your registered payment method for:

• Daily settlement of completed trade charges (processed at 12:00 AM IST)
• Recurring subscription payments (for Pro Unlimited plan)
• Any applicable GST and government levies

You may revoke this authorization at any time by disabling auto-debit in your account settings. Revocation does not affect charges already processed or pending at the time of revocation.

7.3 Payment Processing

All payments are processed securely through Razorpay Payment Services. Razorpay is a third-party payment processor and is not responsible for the services provided by Pinbar.ai. Pinbar.ai does not store your complete card details or UPI credentials—these are handled securely by Razorpay in compliance with PCI-DSS standards.

Please refer to our Refund & Cancellation Policy for complete details. Summary:

• Charges for completed trades (Pay As You Trade) are non-refundable once processed
• Unused trade credits from the Active Trader Pack are non-refundable but remain valid for 90 days
• Pro Unlimited subscriptions may be cancelled anytime; access continues until the billing period ends
• Duplicate payments and technical errors are eligible for full refund within 7 business days
• Referral credits are non-transferable and non-refundable

9.1 Suspension by Pinbar.ai

We reserve the right to suspend or restrict your access to the Service, without prior notice, if:

• Payment for services is overdue for more than 7 days
• You violate these Terms or engage in abusive behavior
• We detect fraudulent activity or misuse of the Platform
• Required for maintenance, security, or legal compliance

9.2 Termination by Pinbar.ai

We may permanently terminate your account if:

• You repeatedly violate these Terms after warnings
• Payment remains overdue for more than 30 days
• You engage in illegal activities using the Platform

9.3 Termination by User

You may cancel your account at any time from the Settings page. Upon cancellation:

• Any pending charges will be settled
• Unused prepaid credits are forfeited (non-refundable)
• You may request export of your data before account deletion
• Your data will be retained as per our Privacy Policy

All content, features, and functionality of Pinbar.ai—including but not limited to text, graphics, logos, icons, images, audio, video, software, algorithms, and AI models—are owned by Pinbar.ai and are protected by Indian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Pinbar.ai shall NOT be liable for any trading losses, investment outcomes, or financial decisions made based on information or insights provided through the Platform
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total aggregate liability for any claims arising from these Terms or your use of the Service shall not exceed the amount paid by you to Pinbar.ai in the 12 months preceding the claim
• We are not liable for any errors, delays, or failures in broker data synchronization caused by third-party broker APIs or connectivity issues

You agree to indemnify, defend, and hold harmless Pinbar.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading activities and investment decisions

Pinbar.ai shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, acts of God, or extreme weather events
• War, terrorism, civil unrest, or government actions
• Pandemic, epidemic, or public health emergencies
• Power outages, internet failures, or telecommunications disruptions
• Broker API failures, stock exchange halts, or regulatory actions affecting trading
• Cyberattacks, hacking incidents, or security breaches affecting third-party services

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to your registered email address
• In-app notification upon login
• Update to the "Last Updated" date at the top of this page

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, Billing & Payment Policy, and Refund Policy, constitute the entire agreement between you and Pinbar.ai regarding the use of the Service and supersede all prior agreements, understandings, or representations.
